1. Acceptance of Terms
By accessing or using Flux Platform ("Flux," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the platform. These terms apply to all visitors, users, and others who access or use the service. We reserve the right to refuse access to anyone for any reason at any time.
2. Description of Service
Flux Platform provides a cloud-based IT service management and information security platform designed for organizations of all sizes. Our services include workflow automation, compliance management, asset tracking, incident management, and related tools. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We will make reasonable efforts to notify you of any material changes to the service.
3. User Accounts
When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding the password used to access the service and for any activities or actions under your account, whether or not you have authorized them. You must notify us immediately of any breach of security or unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or harmful activity.
4. Acceptable Use
You agree to use the platform only for lawful purposes and in accordance with these terms. You may not use the service to violate any applicable local, state, national, or international law; to transmit any material that is defamatory, obscene, or otherwise objectionable; to impersonate any person or entity; to interfere with or disrupt the platform or servers; to attempt to gain unauthorized access to any portion of the service; to engage in any form of automated data collection without our prior written consent; or to introduce viruses, trojans, or other malicious code.
5. Intellectual Property
The platform and its original content, features, and functionality are and will remain the exclusive property of Flux Platform and its licensors. The platform is protected by copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent. You retain full ownership of any data you upload to the platform and grant us a limited license to use that data solely to provide the service.
6. Payment & Billing
Certain features of the platform require a paid subscription. You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as otherwise stated in your subscription agreement. We reserve the right to change our pricing upon 30 days’ written notice. If your payment method fails, we may suspend your access to paid features until payment is received.
7. Service Level Agreement
We commit to maintaining 99.9% uptime for our platform, measured on a monthly basis, excluding scheduled maintenance windows and force majeure events. In the event that we fail to meet this commitment, affected customers on paid plans may be eligible for service credits as outlined in our SLA documentation. Scheduled maintenance will be communicated at least 48 hours in advance and will be performed during off-peak hours whenever possible.
8. Data Protection
We take the security and privacy of your data seriously. We process personal data in accordance with our Privacy Policy and applicable data protection regulations, including the General Data Protection Regulation (GDPR). We implement industry-standard technical and organizational measures to protect your data. You retain full ownership and control of your data at all times. Upon termination of your account, we will delete or return your data within 30 days, unless retention is required by law.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Flux Platform, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the service; any conduct or content of any third party on the service; any content obtained from the service; or unauthorized access, use, or alteration of your transmissions or content. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these terms. Upon termination, your right to use the service will immediately cease. You may terminate your account at any time by contacting us or using the account settings in the platform. All provisions of these terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Changes to Terms
We reserve the right to modify or replace these terms at any time at our sole discretion. We will provide at least 30 days’ notice before any material changes take effect by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the service after the revised terms take effect constitutes your acceptance of those changes. If you do not agree to the new terms, you must stop using the service.
12. Governing Law
These terms shall be governed and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these terms or the service shall be brought exclusively in the courts located in Copenhagen, Denmark. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.
